Welcome to www.pantheosforge.com (the "Site"), operated by Pantheos Forge Inc., a Texas corporation ("Pantheos Forge," "we," "us," or "our"). These Website Terms of Use ("Terms") govern your access to and use of the Site. By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

01 Eligibility

The Site is intended for business users in the United States who are at least 18 years old. By using the Site, you represent and warrant that you meet these requirements and that you have the authority to enter into these Terms on your own behalf or on behalf of the organization you represent.

02 The Site and Our Services

The Site provides information about Pantheos Forge, Apophis, and our cybersecurity products and services. Information on the Site is provided for general informational purposes. Access to our paid products and services (including Apophis) is governed by a separate written agreement between you (or your organization) and Pantheos Forge. In the event of any conflict between these Terms and such a written agreement, the written agreement controls with respect to the products and services covered by it.

03 Account Registration

If we make account features available on the Site, you agree to provide accurate and complete information, keep your credentials confidential, promptly notify us at security@pantheosforge.com of any suspected unauthorized use, and accept responsibility for all activities that occur under your account. Pantheos Forge may suspend or terminate any account at its discretion.

04 Acceptable Use

You agree not to, and not to attempt to:

• Use the Site for any unlawful, fraudulent, harmful, or unauthorized purpose;
• Access, probe, scan, test the vulnerability of, or breach the security or authentication of the Site or any related system or network, except as expressly permitted by our Vulnerability Disclosure Policy;
• Use the Site or any of our services to attack, penetration test, or otherwise target any system or network that you do not own or do not have express, documented authorization to test;
• Interfere with, disrupt, overload, or impair the Site, related systems, or other users;
• Introduce viruses, malware, or other malicious code;
• Use any automated means (including bots, scrapers, crawlers, or AI agents) to access, collect, or use the Site or its content, except for search engine indexing in accordance with our robots.txt file;
• Reverse engineer, decompile, disassemble, or attempt to derive source code from the Site or any underlying technology, except to the extent applicable law expressly permits;
• Copy, modify, distribute, sell, license, lease, or create derivative works of the Site or its content, except as expressly permitted;
• Misrepresent your identity or your affiliation with any person or organization;
• Use the Site to send unsolicited communications, advertising, or spam;
• Violate any applicable law, regulation, contract, intellectual property right, or other third-party right.

05 Intellectual Property

The Site and all content on it — including text, graphics, logos, images, videos, software, code, data, designs, the names "Pantheos Forge" and "Apophis," and all related trademarks, service marks, and trade dress — are owned by Pantheos Forge or its licensors and are protected by United States and international intellectual property laws.

Subject to your compliance with these Terms, Pantheos Forge grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Site for your internal, lawful business purposes. All rights not expressly granted are reserved. No rights are granted by implication, estoppel, or otherwise.

06 User Submissions and Feedback

If you submit information through the Site (for example, by completing the contact form or sending us communications), you represent that you have the right to do so and that your submission is accurate and not unlawful. You grant Pantheos Forge a worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, store, modify, and create derivative works of your submission for the purposes of operating, improving, marketing, and supporting our business and services.

If you provide feedback, suggestions, or ideas about Pantheos Forge, Apophis, or our services, you agree that Pantheos Forge may use such feedback without restriction and without compensation to you, and you assign to Pantheos Forge all right, title, and interest in such feedback.

The Site may include links to third-party websites, platforms, or services (including, for example, LinkedIn, X, YouTube, or similar). Pantheos Forge does not control, endorse, or assume responsibility for third-party content or services. Your interactions with third parties are at your own risk and are subject to their terms and policies.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

10 Indemnification

You agree to indemnify, defend, and hold harmless Pantheos Forge and its affiliates, officers, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your access to or use of the Site; (b) your violation of these Terms; (c) your violation of any law or third-party right; or (d) any content or information you submit through the Site.

11 Export Controls and Sanctions

The Site, our products, and our services may be subject to U.S. export control laws and regulations, including the Export Administration Regulations (EAR), and U.S. economic sanctions administered by the Office of Foreign Assets Control (OFAC). You represent that you are not located in, under the control of, or a national or resident of any country or region subject to comprehensive U.S. sanctions, and that you are not on any U.S. government list of prohibited or restricted parties. You agree not to access or use the Site in violation of any applicable export control or sanctions law.

12 U.S. Government End Users

The Site and any related software are "commercial items," "commercial computer software," and "commercial computer software documentation," as defined in 48 C.F.R. § 2.101 and § 12.212. U.S. Government end users acquire these items with only the rights set forth in these Terms.

13 Modifications to the Site or Terms

Pantheos Forge may modify, suspend, or discontinue the Site, or any part of it, at any time without notice. Pantheos Forge may also update these Terms from time to time. When we do, we will revise the Effective Date above. If changes are material, we may provide additional notice. Your continued use of the Site after an updated version of these Terms is posted constitutes your acceptance of the updated Terms.

14 Termination

Pantheos Forge may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including any suspected violation of these Terms. Sections 5, 6, 8, 9, 10, 11, 14, 15, 16, 17, and 18 survive termination.

15 Governing Law

These Terms and any dispute arising out of or related to these Terms or the Site are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

16 Dispute Resolution; Binding Arbitration; Class Action Waiver

(a) Informal Resolution

Before filing any formal proceeding, you agree to first contact us at legal@pantheosforge.com and attempt in good faith to resolve the dispute informally for at least 30 days.

(b) Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Site that is not resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will be conducted in Dallas County, Texas, in English, before a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction.

(c) Class Action Waiver

You and Pantheos Forge each agree that any dispute will be brought only on an individual basis and not as a plaintiff or class member in any purported class, consolidated, or representative action.

(d) Exceptions

Either party may bring (i) an individual action in small claims court, or (ii) an action in court for injunctive or other equitable relief relating to intellectual property, security, or unauthorized access.

(e) Opt-Out

You may opt out of this arbitration provision by sending written notice to legal@pantheosforge.com within 30 days of first accepting these Terms. The notice must include your name, address, and a clear statement that you wish to opt out.

17 Venue for Non-Arbitrable Disputes

For any dispute not subject to arbitration, you and we agree to the exclusive jurisdiction and venue of the state and federal courts located in Dallas County, Texas, and waive any objection to such jurisdiction or venue.

18 General

These Terms, together with any other policies referenced in them, constitute the entire agreement between you and us regarding the Site and supersede any prior agreements. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of that provision. You may not assign these Terms without our prior written consent; we may freely assign them. Headings are for convenience only and do not affect interpretation.
